  1. SOFTKEY LICENSE AGREEMENT

  3. This agreement governs your use of the SoftKey products
  4. enclosed with it including any manuals, disks, computer
  5. program and materials associated with it (the "Software").
  6. BY OPENING THE SEALED PACKAGES CONTAINING THE DISKS AND/OR
  7. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS
  8. OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS
  9. AGREEMENT, PROMPTLY RETURN THE DISK PACKAGES FOR A FULL
  10. REFUND TO THE PLACE WHERE YOU PURCHASED THEM.

  12. 1. Grant of License. This Agreement permits you to use one
  13. copy of the Software, which is licensed as a single product.
  14. The Software is "in use" on a computer when it is loaded
  15. into the temporary memory (i.e., RAM) or installed into the
  16. permanent memory (e.g., hard disk or other storage device)
  17. of that computer. You may use the Software on a network
  18. provided you have purchased one copy for each user.

  20. 2. Copyright and Restrictions. The Software is owned by
  21. SoftKey or its suppliers and is protected by United States
  22. and Canadian copyright laws and international treaty
  23. provisions. SoftKey, its suppliers and licensors retains all
  24. rights not expressly granted. You must treat the Software
  25. like any other copyrighted material, except that you may
  26. either make one copy of the Software solely for backup or
  27. archival purposes or transfer the Software to a single hard
  28. disk provided you keep the original solely for backup or
  29. archival purposes. You may not rent or lease the Software,
  30. but you may transfer your rights under this Agreement on a
  31. permanent basis provided you transfer the license granted by
  32. this Agreement, the Software and all associated printed
  33. materials, retain no copies and the recipient agrees to the
  34. terms of this Agreement. You may not reverse engineer,
  35. decompile or disassemble the Software, except to the extent
  36. the foregoing restriction is expressly prohibited by
  37. applicable law.

  39. 3. Limited Warranty. For 90 days from your date of purchase,
  40. SoftKey or its suppliers warrants that the media on which
  41. the Software is distributed are free from defects in
  42. materials and workmanship. SoftKey will, at its option,
  43. refund the amount you paid for the Software or repair or
  44. replace the Software provided that (a) the defective
  45. Software is returned to SoftKey or an authorized dealer
  46. within 90 days from the date of purchase and (b) you have
  47. completed and returned the enclosed registration card. These
  48. are your sole remedies for any breach of warranty. SoftKey,
  49. its suppliers and licensors disclaim all other warranties,
  50. either express or implied, with respect to the Software and
  51. the accompanying written materials, including but not
  52. limited to implied warranties of merchantability and fitness
  53. for a particular purpose.

  55. 4. Limitation of Liabilities. In no event will SoftKey, its
  56. suppliers or licensors be liable for any indirect, special,
  57. incidental, economic or consequential damages arising out of
  58. the use or inability to use the Software, even if such party
  59. has been advised of the possibility of such damages. In no
  60. event will SoftKey, its suppliers or licensors' liability
  61. exceed the amount paid by you for the Software. Because some
  62. jurisdictions do not allow the exclusion or limitation of
  63. liability for consequential or incidental damages, the above
  64. limitation may not apply to you.

  66. 5. U.S. Government Restricted Rights. The Software is
  67. provided with RESTRICTED RIGHTS. Use, duplication or
  68. disclosure by the Government is subject to restrictions as
  69. set forth in subparagraph (c)(1)(ii) of the Rights in
  70. Technical Data and Computer Software clause at DFARS
  71. 252.227-7013 or subparagraphs (c)(1) and (2) of the
  72. Commercial Computer Software--Restricted Rights at 48 CFR
  73. 52.227-19, as applicable. SoftKey International Inc., One
